Terms of Service

These Terms of Service ("Terms") govern your use of the KeepDial service operated by BOHWiz LLC ("KeepDial," "we," "us"). By creating an account, subscribing to a plan, or otherwise using the service, you agree to these Terms. If you don't agree, don't use the service.

Plain English — You pay us to run an AI missed-call text-back system for your business. We do our best to keep it working. If it breaks or you cancel, you're not locked in. Don't use it to spam people or break the law. That's the deal.

1. The Service

KeepDial provides an AI-assisted SMS response system that replies to missed phone calls on behalf of your business, books appointments, and routes emergency alerts. The service is delivered through our platform built on top of third-party infrastructure including Twilio and GoHighLevel.

2. Your Account

You must provide accurate information during signup (legal business name, contact info, tax ID where applicable).
You are responsible for keeping your login credentials secure.
You must be at least 18 years old and authorized to bind your business to these Terms.

3. Subscription, Billing, and Cancellation

Plans are billed monthly in advance via Stripe. Setup fees are charged one-time upon activation.
A 14-day free trial is available for new customers. You will not be charged until the trial ends.
You may cancel at any time from your dashboard. Cancellation takes effect at the end of your current billing cycle. We do not issue pro-rated refunds for mid-cycle cancellations, except as provided by our 90-day guarantee below.
90-day money-back guarantee: If within the first 90 days of a paid subscription, KeepDial has not generated recoverable revenue greater than its cost to you, contact us for a full refund including setup fees. Offer applies to the initial subscription only.

4. Acceptable Use

You agree not to use KeepDial to:

Send unsolicited marketing messages to people who have not provided consent.
Send messages that are unlawful, harassing, deceptive, obscene, or infringing.
Impersonate another person or business.
Circumvent any opt-out request (STOP).
Violate the CTIA Messaging Principles & Best Practices, TCPA (Telephone Consumer Protection Act), or any applicable law.

We may suspend or terminate your account immediately for violations.

5. Your Content and Data

You retain ownership of the contact lists, customer data, and conversation content you run through KeepDial. You grant us a limited license to process that data solely for the purpose of delivering the service. See our Privacy Policy for details.

6. Our Role vs. Your Role

KeepDial is a platform. You are responsible for:

The accuracy of business information and AI prompts you configure.
Ensuring you have appropriate consent to text the customers on your lists.
Compliance with local licensing, advertising, and consumer-protection laws for your trade.

KeepDial is responsible for:

Operating the AI responder and infrastructure with commercial best efforts.
Routing SMS through A2P-registered carrier channels.
Providing reasonable support and documentation.

7. Service Availability

We target 99.5% monthly uptime but do not guarantee uninterrupted availability. Downstream outages (Twilio, carrier-level filtering, internet) are outside our control. We will promptly notify you of known incidents affecting your account.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE AI WILL ALWAYS RESPOND CORRECTLY, THAT EVERY MESSAGE WILL BE DELIVERED, OR THAT THE SERVICE WILL BE ERROR-FREE. YOU REMAIN RESPONSIBLE FOR REVIEWING CONVERSATIONS AND INTERVENING WHEN NEEDED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPDIAL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

10. Indemnification

You agree to indemnify and hold KeepDial harmless from any claim by a third party (including consumers, carriers, or regulators) arising out of your use of the service in violation of these Terms or applicable law — including TCPA claims arising from your contact lists.

11. Termination

We may terminate your account for material breach of these Terms, fraud, or if required by law. We will make commercially reasonable efforts to give 14 days' notice except in cases of serious violation or abuse.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to active subscribers at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Cook County, Illinois, and you consent to that jurisdiction.
